TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) govern your use of The Process Boss’s services, including but not limited to consulting, digital product creation, and online business strategy (“Services”). By purchasing, engaging with, or utilizing our Services, you agree to these Terms. If you do not agree, please refrain from using our Services.

1. Scope of Services

The Process Boss, led by Krista Howard (“Consultant”), provides consulting, strategy, and digital product development services to online service providers, course creators, and other digital business owners. The specific details of each engagement will be outlined in a separate service agreement or invoice.

2. Payment and Refund Policy

  • All payments are due as outlined in your invoice or payment plan agreement. Late payments may result in a suspension of services and fees.
  • Due to the nature of digital and consulting services, all sales are final. No refunds will be issued once work has commenced.
  • Payment plans, if available, must be adhered to. Failure to complete a payment plan will result in the termination of access to any associated deliverables without refund. Collections process may apply for any accounts that are 30+ days past due.
  • FTC Compliance: All fees will be clearly disclosed upfront, and no hidden fees or “junk fees” will be charged. Clients will always have access to a clear and simple cancellation policy if applicable.

3. Intellectual Property & Template Usage

3.1 Ownership of Work Created

  • While you receive the right to use the materials, frameworks, and strategies created specifically for your business, The Process Boss retains full ownership of all underlying structures, designs, and methodologies used to create them.
  • You may not reproduce, resell, or redistribute the work created without written permission from The Process Boss.
  • Disclosure: The Process Boss ensures that any material connections, partnerships, or affiliations that could influence our services are transparently disclosed.

3.2 Repurposing into Templates

  • The Process Boss reserves the right to repurpose, modify, and sell any general frameworks, designs, or workflows created during the course of working with your business.
  • Any confidential or sensitive business information will be removed or anonymized before repurposing. However, the overall structure and methodology remain the intellectual property of The Process Boss.
  • By engaging with our Services, you acknowledge and agree that we retain the right to use non-proprietary elements of our work with your business to develop and sell templates, resources, or future digital products.

4. Confidentiality & Data Protection

  • We respect your business’s confidentiality and will not share proprietary business details, client data, or sensitive internal information.
  • Any shared materials that contain proprietary business data will be used solely for the intended engagement and will not be included in any future template or product without explicit anonymization.
  • You agree not to disclose proprietary strategies, methods, or resources provided to you by The Process Boss to third parties without written consent.
  • FTC Compliance: All personal and business data shared with The Process Boss will be securely stored and handled in accordance with best data security practices. We comply with the FTC’s Fair Information Practice Principles, ensuring notice, choice, access, security, and enforcement in our data protection policies.

5. Client Responsibilities

  • Clients are responsible for providing necessary information and materials in a timely manner to allow for the successful completion of services.
  • Any delays on the client’s end may impact the project timeline and will not be considered a breach of contract on our end.
  • Clients are responsible for ensuring compliance with all laws and regulations relevant to their business.
  • Clients agree not to include non-disparagement clauses restricting honest reviews of The Process Boss’s services, in accordance with the Consumer Review Fairness Act.

6. Limitation of Liability

  • The Process Boss is not responsible for direct or indirect damages resulting from the implementation of strategies, templates, or recommendations provided.
  • You assume all risks associated with using the services and digital products.
  • No guarantees of financial outcomes or business success are made. Results will depend on multiple factors, including market conditions, personal implementation, and business strategy.

7. Termination of Services

  • Either party may terminate an engagement in writing. Any work completed up to that point must be compensated.
  • The Process Boss reserves the right to terminate a project if a client fails to provide necessary materials, violates these Terms, or exhibits inappropriate behavior.
  • FTC Compliance: If subscription-based services are offered, cancellations will be simple and straightforward, in compliance with the FTC’s “click-to-cancel” rule.

8. Governing Law

  • These Terms are governed by the laws of Colorado, USA and any disputes will be resolved in the appropriate jurisdiction.

9. Updates to These Terms

  • We reserve the right to update these Terms at any time. Continued use of our Services constitutes acceptance of any modifications.
  • Clients will be notified of any material changes to these Terms.

10. Affiliate Disclosure

  • The Process Boss participates in various affiliate marketing programs, which means we may earn a commission when you click on or purchase products through our affiliate links.
  • Any affiliate relationships will be clearly disclosed in accordance with the Federal Trade Commission (FTC) guidelines.
  • Our recommendations are based on personal and professional expertise, and we only promote products and services we genuinely believe will provide value.
